Terms and Conditions

1. Acceptance of Terms
By accessing or using the services of Apex Digital Partners (“we”, “us”, “our”), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.
2. Services
Apex Digital Partners provides digital marketing services including paid advertising management, web design and development, AI automation and reception systems, growth architecture and content planning, and automated email marketing. All services are delivered as agreed in your individual service agreement or proposal.
3. Month-to-Month Engagements
All standard service engagements operate on a month-to-month basis. Either party may terminate the engagement with 30 days written notice. No lock-in contracts or long-term commitments are required unless separately agreed in writing.
4. Payment Terms
Payment terms are as specified in your service agreement. Invoices are issued monthly and are due within 14 days of the invoice date unless otherwise agreed. Late payments may result in a pause in service delivery.
5. Client Responsibilities
You agree to provide accurate information, timely feedback, and access to any necessary accounts or assets required for us to deliver our services. Delays caused by late provision of required materials may affect delivery timelines.
6. Intellectual Property
Upon full payment of all outstanding invoices, intellectual property created specifically for you as part of your service engagement transfers to you. We retain the right to reference work completed for you in our portfolio unless you specifically request otherwise in writing.
7. Limitation of Liability
To the maximum extent permitted by law, Apex Digital Partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability to you shall not exceed the total fees paid in the preceding 3 months.
8. Governing Law
These Terms and Conditions are governed by the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.
9. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be communicated via email with reasonable notice. Continued use of our services after changes constitutes your acceptance of the updated terms.
